LEGAL ENTITY & STRUCTURE
Zeus & Lexi Model Academy (“Academy”) is an educational training program operated and sold by Tanya Takeover, LLC.
All payments, contracts, and transactions related to Zeus & Lexi Model Academy are made with Tanya Takeover, LLC.
Zeus & Lexi Kids is a separate legal entity with its own EIN and operates independently. Enrollment in Zeus & Lexi Model Academy does not constitute employment, representation, or contractual engagement with Zeus & Lexi Kids unless expressly stated in a separate written agreement.
NATURE OF SERVICES
The Academy provides educational training services focused on model development, runway training, posture, performance refinement, brand positioning, confidence coaching, and industry education.
The Academy is not:
• A modeling agency
• A talent agency
• A management company
• An employment agency
Enrollment does not guarantee:
• Modeling jobs
• Agency representation
• Paid bookings
• Brand contracts
• Campaign placement
• Fashion Week participation
• Travel opportunities
• Industry referrals
All outcomes depend on individual readiness, professionalism, market demand, and third-party decisions beyond the Academy’s control.
NO GUARANTEES
The Academy makes no representations, warranties, or guarantees regarding career outcomes, bookings, brand placement, Fashion Week participation, or financial gain.
Any testimonials or examples are illustrative only and not predictive of results.
ELIGIBILITY & PARENT CONSENT

All participants under 18 must be enrolled by a parent or legal guardian.
By enrolling a minor, the Parent/Guardian represents that they have full legal authority to enter into this agreement and accept responsibility for the minor’s participation.
PAYMENT TERMS
All payments are processed by Tanya Takeover, LLC.
Payment plans, if offered, remain legally binding. Failure to complete payments does not cancel financial obligation.
The Academy reserves the right to suspend or revoke access for nonpayment.
STRICT NO REFUND POLICY
All sales are final.
Due to the digital nature of educational materials and immediate access to training content, refunds, cancellations, and exchanges are not permitted.
Failure to attend live sessions, virtual sessions, or in-person events does not qualify for a refund.
CHARGEBACK & PAYMENT DISPUTE POLICY
By purchasing, you agree not to initiate a chargeback or payment dispute without first contacting the Academy to resolve concerns.
Unauthorized chargebacks may result in:
• Immediate termination of access
• Permanent removal from programs
• Collection efforts
• Legal action
• Reporting to payment processors
The Academy reserves the right to provide evidence of access, login records, participation history, and agreement acceptance to dispute chargebacks.
INTELLECTUAL PROPERTY & NON-DISTRIBUTION
All materials, curriculum, videos, training modules, scripts, worksheets, templates, recordings, branding elements, and digital content are the exclusive intellectual property of Tanya Takeover, LLC.
Participants may not:
• Copy
• Record
• Screenshot
• Share
• Reproduce
• Upload
• Distribute
• Sell
• License

• Resell
Any Academy content without written consent.
One purchase equals one household license.
Violation may result in termination of access and legal action.
CONFIDENTIALITY
Participants agree not to publicly share internal Academy materials, strategies, pricing structures, or proprietary processes.
CODE OF CONDUCT
The Academy reserves the right to remove any participant or parent for:
• Disruptive behavior
• Harassment
• Inappropriate conduct
• Defamation
• Unsafe behavior
Removal does not qualify for a refund.
FASHION WEEK & INDUSTRY EXPOSURE DISCLAIMER
References to Fashion Week, runway experiences, curated exposure, or referral introductions do not constitute guaranteed placement.
Priority review or consideration does not guarantee participation.
All industry opportunities are subject to readiness, availability, brand alignment, and third-party decision-making.
TRAVEL DISCLAIMER
If travel-related opportunities arise, all travel costs including flights, lodging, transportation, documentation, and supervision remain the responsibility of the Parent/Guardian unless otherwise stated in writing.
PARENT RESPONSIBILITY & LEGAL COMPLIANCE
Parents/Guardians are solely responsible for:
• Obtaining required child performer permits
• Work authorizations
• Travel documentation
• Compliance with local, state, and federal laws
The Academy does not provide legal services and is not responsible for securing permits.
LIMITATION OF LIABILITY
To the maximum extent permitted by law, Tanya Takeover, LLC shall not be liable for indirect, incidental, consequential, or special damages.
Total liability shall not exceed the amount paid for the specific program purchased.
INDEMNIFICATION
You agree to indemnify and hold harmless Tanya Takeover, LLC, Zeus & Lexi

Model Academy, and their officers, employees, contractors, and affiliates from any claims, damages, liabilities, losses, or legal fees arising from participation.
IN-PERSON LIABILITY WAIVER
Participation in in-person intensives may involve physical movement including walking, posing, and stage rehearsal.
By enrolling, Parent/Guardian:
• Assumes all risks of participation
• Releases Tanya Takeover, LLC from liability related to injury, illness, accidents, or loss
• Accepts responsibility for supervision unless otherwise agreed in writing
MEDIA RELEASE
By enrolling, Parent/Guardian grants Tanya Takeover, LLC permission to photograph and record participants during Academy activities for marketing purposes unless written objection is submitted prior to participation.
No compensation is provided for such use.
FORCE MAJEURE
The Academy is not liable for delays or cancellations caused by circumstances beyond its control, including weather, illness outbreaks, venue cancellations, or government restrictions.
DISPUTE RESOLUTION & ARBITRATION
Any dispute shall first be attempted to be resolved through written communication.
If unresolved, disputes shall be resolved through binding arbitration in the state where Tanya Takeover, LLC is registered.
GOVERNING LAW
These Terms are governed by the laws of the state of registration of Tanya Takeover, LLC.

The Academy reserves the right to update these Terms at any time.
